In consideration of Your undertakings contained herein, IssueTech hereby grants to You a non-transferable non-exclusive license to use the Software in accordance with these terms and conditions (“License Agreement”).

You shall only use the Software for Your internal business operations and shall not make it available for use for payment by any third party as a bureau, on line or off line service or otherwise. Internal business operations includes any contract or other arrangement You have with Your Customers for the maintenance and support of software under which Your Customers may use the Software to report Issues.

You are entitled to access the Software over the internet, to enter information in the on-line submission form regarding issues, to manage and monitor the process of resolving such issues and to provide graphical or other analysis of such process.

All Data and all registration details shall be stored on Our server.

This License shall commence on the date You first use the Software and Services under these terms and conditions and shall continue unless or until terminated in accordance with the Termination clause below.

User Obligations

You agree not to do any of the following while using the Site:

Access, tamper with or use non-public areas of the Site.

Provide untrue, inaccurate, or incomplete information.

Frame or link to the Site, except as permitted in writing by IssueTech; or impersonate or misrepresent Your affiliation with any person or entity.

Intentionally or unintentionally violate any applicable law or regulation.

Post or transmit any Content that is unlawful, untrue, harassing, libelous, defamatory, abusive, tortious, threatening, harmful (including but not limited to viruses, corrupted files, or any other similar software or programs) or otherwise objectionable material.

Protection of Content Provided by IssueTech

This Site contains trademarks and other material furnished by IssueTech. These items are trademarks of Issue Technologies, Inc. You may not sell, reproduce, distribute, modify, display, publicly perform, prepare derivative works based on, repost or otherwise use any of the Site Content in any way for any public or commercial purpose without prior written consent of IssueTech. You may not use the Content copied from this Site on any other web site or in a networked computer environment for any purpose. In order to protect IssueTech's trade secrets, You agree that You will not 'reverse engineer' any Site Content, unless specifically authorized by the trade secret owner or otherwise permitted by law. If You violate any of these terms, Your permission to use the Site Content will automatically terminate.

Limitation of Liability

NEITHER ISSUETECH NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE SHALL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR INDIRECT DAMAGES RESULTING FROM YOUR ACCESS TO, OR USE OF, OR INABILITY TO USE THE SITE AND THE SITE CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE KNOW OF THE POSSIBILITY OF SUCH DAMAGE. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation or exclusion may not apply to You.

Termination

The terms and conditions of this License Agreement commence on the date of Your first use of the Software and the Services under these terms and conditions and shall continue thereafter unless terminated in accordance with the remainder of this clause.

IssueTech shall be entitled to terminate these terms and conditions forthwith on written notice if:- (a) You are or become insolvent or bankrupt or make an arrangement with Your creditors or go into liquidation (other than for the purpose of solvent reconstruction or amalgamation); or (b) You commit a material breach of any of these terms and conditions.

Either party shall be entitled to terminate the Licence and these terms and conditions upon thirty days written notice. In the event of termination of these terms and conditions part-way through a month for which a Fee has been paid, You shall not be entitled to any refund of the Fee or part thereof.

Immediately following termination of these terms and conditions for whatever reason, You shall cease to use the Services and You will no longer have access to the Data.

The expiry or termination of these terms and conditions shall be without prejudice to any other rights or remedies which either party may be entitled to thereunder or at law and shall not affect any rights or liabilities which may have already accrued to either of the parties under this License Agreement..

General Provisions

You are responsible for compliance with applicable local laws, keeping in mind that access to the Site Content may not be legal by certain persons or in certain countries. If any part of this Agreement is held to be unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remainder will remain in full force and effect. This Agreement is personal to You and You may not transfer, assign or delegate this Agreement to anyone without the express written permission of IssueTech. Any attempt by You to assign, transfer or delegate this Agreement without the express written permission of IssueTech shall be null and void. The paragraph headings in this Agreement, shown in boldface type, are included to help make the agreement easier to read and have no binding effect. The Agreement comprises the entire agreement between You and IssueTech with respect to the use of the Site and supersedes all prior agreements between the parties regarding the subject matter contained herein.

This Agreement will be governed by the law of the state of Florida, U.S.A., without regard to its conflicts of law provisions.
